Terms of Service

These Terms of Service (the "Terms") are a binding agreement between you and TexPTO ("TexPTO", "we", "us", or "our") governing your access to and use of the TexPTO websites, applications, APIs, and related services (collectively, the "Service"). By creating an account, checking the consent box at signup, or otherwise accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to that entity.

1. The Service

TexPTO is a permitting intelligence and workflow platform for solar installation professionals. The Service includes, among other things:

  • a database of permitting requirements for authorities having jurisdiction ("AHJs"), utility interconnection requirements, and homeowners-association (HOA) information, compiled through a combination of automated AI-assisted research and human review;
  • address lookup and jurisdiction resolution tools;
  • project and submission workflow tracking, checklists, and team collaboration features;
  • document preparation aids, including AI-assisted form filling; and
  • a customer-facing status portal that you may share with your own customers.

We may add, change, or remove features of the Service at any time.

2. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. You agree to provide accurate, current, and complete information when creating an account and to keep it up to date. You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at support@texpto.com if you suspect unauthorized use of your account.

3. Organizations, Members, and Your Customers

Accounts are organized into organizations (for example, your contracting business). If you join an organization, the organization's owner and administrators can manage your membership and may access content you submit within that organization. If you invite team members, you are responsible for their compliance with these Terms.

If you use the Service to share information with your own customers (for example, through the customer status portal), you are responsible for having the necessary permissions to share that information and for the accuracy of what you communicate to your customers.

4. Subscriptions, Fees, and Payment

Certain features of the Service require a paid subscription. Prices, plan features, and billing intervals are described at the point of purchase. Payments are processed by our payment provider, Stripe; we do not store your full payment card details.

Unless otherwise stated at the point of purchase:

  • subscriptions renew automatically at the end of each billing period until cancelled;
  • you may cancel at any time, effective at the end of the current billing period; and
  • fees are non-refundable except where required by law.

We may change our prices with prior notice; changes take effect at your next renewal. Applicable taxes are your responsibility.

5. Permitting Data and AI-Assisted Content — Important Disclaimer

Read this section carefully. It materially limits what you may rely on.

Permitting, interconnection, and HOA requirements change frequently, vary by jurisdiction, and are ultimately determined by the relevant AHJ, utility, HOA, or other authority — not by TexPTO. Portions of the Service's data and outputs are generated or assembled using artificial-intelligence systems and automated research, which can produce information that is incomplete, outdated, or incorrect.

Accordingly:

  • The Service provides informational aids only. It does not provide legal, engineering, code-compliance, or other professional advice, and it is not a substitute for direct verification with the applicable AHJ, utility, HOA, or a qualified professional.
  • You are responsible for verifying all requirements, forms, fees, and timelines with the applicable authority before relying on them, including before submitting any permit application or interconnection request.
  • TexPTO does not guarantee that any permit application, interconnection request, or other submission prepared with the Service will be accepted or approved, or that any timeline estimate will be met.
  • AI-assisted outputs (including pre-filled forms and generated checklists) must be reviewed by you before use.

To the maximum extent permitted by law, TexPTO is not liable for permit rejections, resubmission costs, project delays, fines, penalties, or any other loss arising from reliance on the Service's data or outputs.

6. Your Content

You retain all rights to the information, documents, designs, and other materials you or your team submit to the Service ("Customer Content"). You grant TexPTO a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and otherwise use Customer Content as needed to provide, secure, and improve the Service, and as otherwise described in our Privacy Policy.

You represent that you have the rights necessary to submit Customer Content and that it does not violate any law or third-party right. We may remove content that violates these Terms.

Feedback you provide about the Service may be used by us without restriction or obligation to you.

7. Acceptable Use

You agree not to:

  • use the Service in violation of any applicable law or regulation;
  • resell, sublicense, scrape, bulk-export, or systematically copy the Service's permitting database or other content, except as expressly permitted in writing by TexPTO;
  • probe, disrupt, overload, or attempt to gain unauthorized access to the Service or its related systems, or circumvent usage limits or access controls;
  • upload malicious code or content that is unlawful, infringing, or deceptive;
  • misrepresent your identity or affiliation, or submit permit applications or other filings you are not authorized to make; or
  • use the Service to build a competing data product.

We may suspend or terminate access that we reasonably believe violates this section.

8. Intellectual Property

The Service, including its software, design, permitting database compilation, and all related intellectual-property rights, is owned by TexPTO or its licensors. Except for the limited right to use the Service in accordance with these Terms, no rights in the Service are granted to you. Government forms and public records accessible through the Service remain subject to the terms of their issuing authorities.

9. Third-Party Services

The Service incorporates services from third parties, including mapping and geocoding provided by Google Maps (use of which is subject to Google's terms of service and privacy policy), payment processing by Stripe, and infrastructure and AI providers listed in our Privacy Policy. We are not responsible for third-party services, and links to third-party websites (including AHJ, utility, and HOA websites) are provided for convenience only.

10. Term, Suspension, and Termination

These Terms apply for as long as you use the Service. You may stop using the Service and delete your account at any time through your account settings. We may suspend or terminate your access (with or without notice) if you materially breach these Terms, if required by law, or if we discontinue the Service. Upon termination, sections that by their nature should survive (including Sections 5, 6, 8, and 11–14) survive.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICE'S DATA — INCLUDING AI-GENERATED OR AI-ASSISTED DATA — IS COMPLETE, CURRENT, OR CORRECT.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) TEXPTO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, PROJECT DELAYS, OR PERMIT OR INTERCONNECTION OUTCOMES, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) TEXPTO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (I) THE AMOUNTS YOU PAID TO TEXPTO FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY AND (II) ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You will defend, indemnify, and hold harmless TexPTO and its officers, directors, employees, and agents from and against any claims, damages, and expenses (including reasonable attorneys' fees) arising out of your Customer Content, your use of the Service in violation of these Terms or applicable law, or your dealings with your own customers.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The exclusive venue for any dispute arising out of or relating to these Terms or the Service is the state or federal courts located in Texas, and each party consents to personal jurisdiction there. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or an in-app notice) before the changes take effect. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Miscellaneous

These Terms, together with the Privacy Policy and any order or plan terms presented at purchase, are the entire agreement between you and TexPTO regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
